WHAT IS THE ZENBUSINESS INC GRANT PROGRAM?
ZenBusiness Inc. (the “Grantor”) is a public benefit corporation. Core to our mission is providing support to our community of business customers. These Grant Program Terms (the “Terms”) outline the requirements, obligations, restrictions and rights associated with ZenBusiness’ small business grants.
The Grantor will award grants in one time $5000 increments (each a “Grant”) to certain ZenBusiness customers (the “Grantees”) that apply for and meet the required Company Purpose, as further defined below (the “Grant Program”). Grantees will also be offered 30-day access to ZenBusiness Money Pro and 30-day access to ZenBusiness Banking. Grantees cannot combine a Grant with any other promotions, grants, offers or discounts offered by ZenBusiness. Time-limited access to services provided by the Grant (i.e., ZenBusiness Money Pro and ZenBusiness Banking) cannot be combined with the Grantee’s existing subscriptions to ZenBusiness Money Pro, the Growth Center, or any other subscription.
WHO CAN APPLY?
The Grant is open only to: (1) citizens or permanent residents of the United States who are at least eighteen (18) years of age at the time of their application; and (2) private entities that are registered in and maintain a primary place of business in the United States (3) persons who are not current employees of ZenBusiness Inc. nor their immediate family members. Applicants must be current ZenBusiness customers with an active annual recurring subscription, and a business formation that occurred in the previous 90 days to 6 months. Eligible businesses must produce products or deliver services that benefit others, solve a problem, or meet a need in their community (the “Company Purpose”). Whether or not a business serves the required Company Purpose is subject to the Grantor’s sole discretion. Only one entry per applicant per month. Winners of a previous ZenBusiness grant award are not eligible to reapply for another ZenBusiness grant. To apply, eligible applicants can visit the Grant Program application page and follow the instructions to complete and submit the Grant Program application form and provide all required information. Grantor reserves the right to reject and/or disqualify any application that does not meet the eligibility requirements in the Grantor’s sole discretion.
SELECTION PROCESS
The Grant award review process will be done in three steps: (1) An initial screening to ensure the applicant meets the eligibility requirements referenced in these terms & conditions, (2) An application evaluation by a group of Grantor’s staff, and (3) Due diligence to ensure the applicant meets all eligibility requirements. The application will ask the following questions: (a) for your business to succeed, what areas could you use the most help with? (b) what actions and efforts have you executed to help make your business successful? (c) what do you think your business does well? (d) how will this Grant help you take your business to the next level? All applicants will be notified of their application status within sixty (60) days following application submission. The awarded amount will be delivered in a single lump payment via wire transfer upon submission and verification of the Grantee’s FEIN number (if applicable), W-9, and banking details.
GENERAL RULES
A Grant award should not be construed to create a partnership, endorsement, joint venture, or employer-employee relationship between the Grantor and Grantee. The Grantee shall not be considered: (1) An agent of the Grantor; (2) An officer, manager, employee or contractor of the Grantor; (3) authorized to make any representation, contract, or commitment on behalf of Grantor.; and (4) endorsed by Grantor and may not advertise that they have been endorsed by Grantor The Grantor will be solely responsible for all tax returns and payments required to be filed with or made to any federal, state, or local tax authority with respect to receipt of a Grant award. The Grant cannot be used to offset amounts owed by the Grantee to Grantor for a subscription or other ZenBusiness.com product.
By submitting an application (except where prohibited by law), each applicant grants the Grantor permission to use, publish, post or display the individual applicant’s name, photograph, likeness, biographical information, any quotes attributable to them, business name and logo, for advertising, trade, promotional and publicity purposes without further obligation or compensation of any kind to them, anywhere, in any medium now known or hereafter discovered or devised (including, without limitation, on the internet), worldwide, without any limitation of time, and without notice, review, or approval. Applicant waives any right to inspect or approve any such use. The Grantee must agree to an on-camera post-award interview for the purpose of discussing how the Grant helped their business. Requests for award confirmations cannot be accommodated. Grantees will be contacted directly and Grant recipients will be published on both ZenBusiness.com and ZenBusiness social media accounts including Instagram, FaceBook, Twitter, and LinkedIn. Grantees shall be issued a form 1099-MISC (or other applicable form as needed) to reflect all payments made pursuant to the Grant Program. At no time (i.e., indefinitely) shall an applicant or Grantee (i) make any statements, or take any other actions whatsoever, to disparage, defame, sully or compromise the goodwill, name, brand or reputation of ZenBusiness Inc. or any of its affiliates (collectively, the “Company Goodwill”) or (ii) commit any other action that could likely injure, hinder or interfere with the business, relationships or Company Goodwill of ZenBusiness Inc., its subsidiaries or its affiliates.
LIMITATION OF LIABILITY
EACH APPLICANT AND GRANTEE AND ITS AGENTS AND REPRESENTATIVES, AGREE TO RELEASE AND HOLD HARMLESS ZENBUSINESS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, ADVISORS, BOARD MEMBERS, SERVICE PROVIDERS, AFFILIATES, REPRESENTATIVES, CONSULTANTS, LEGAL COUNSEL, ADVERTISING, PUBLIC RELATIONS, PROMOTIONAL, AND MARKETING AGENCIES FOR ANY LIABILITY WHATSOEVER ASSOCIATED WITH THIS GRANT PROGRAM, INCLUDING, WITHOUT LIMITATION, FOR INJURIES OR DAMAGES OF ANY KIND SUSTAINED IN CONNECTION WITH THE USE, ACCEPTANCE, POSSESSION, MISUSE OR AWARDING OF ANY GRANT, OR WHILE PREPARING FOR, PARTICIPATING IN AND/OR TRAVELING TO OR FROM ANY GRANT- OR GRANT PROGRAM-RELATED ACTIVITY. EACH GRANT RECIPIENT AGREES THAT THE GRANT IS PROVIDED AS-IS WITHOUT ANY WARRANTY, REPRESENTATION OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, WHETHER NOW KNOWN OR HEREINAFTER ENACTED, RELATIVE TO ITS USE OR ENJOYMENT, INCLUDING, WITHOUT LIMITATION, WHETHER THE GRANT ENABLES THE GRANTEE TO ACCOMPLISH THE GOALS IT HAS FOR ITS BUSINESS, OR THE TREATMENT OF THE GRANT FOR TAX PURPOSES. BY PARTICIPATING IN THIS GRANT PROGRAM, YOU UNDERSTAND THAT YOU MAY BE WAIVING RIGHTS WITH RESPECT TO CLAIMS THAT ARE AT THIS TIME UNKNOWN OR UNSUSPECTED. ZENBUSINESS INC. IS NOT A TAX EXPERT AND MAKES NO REPRESENTATIONS AS TO THE TAXABILITY OF ANY GRANT AWARDED PURSUANT TO THIS PROGRAM.
DISPUTES/GOVERNING LAW
Under no circumstances will an applicant be permitted or entitled to obtain awards for, and hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys’ fees.Each applicant further waives all rights to have damages multiplied or increased. This Grant Program and any dispute arising under these Terms or related to these Terms or the Grant Program (whether for breach of contract, tortious conduct, or otherwise) will be governed by the internal laws of the State of Texas, U.S.A., without giving effect to its conflicts of law or choice of law principles or rules that would cause the application of the laws of any other jurisdiction. Any legal actions, suits or proceedings related to this Grant Program (whether for breach of contract, tortious conduct, or otherwise) will be brought exclusively in the state or federal courts located in or having jurisdiction over Travis County, Texas, U.S.A., and each applicant accepts and submits to the personal jurisdiction of those courts with respect to any legal actions, suits or proceedings arising out of or related to this Grant Program.
ENTIRE AGREEMENT:
These Terms, together with any other legal notices or additional terms and conditions or policies published by the Grantor, shall constitute the entire agreement between applicant and ZenBusiness Inc. concerning the Grant Program. Except as explicitly stated herein, if any provision of the Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of the Terms, which shall remain in full force and effect.
